Pismem z dnia 11 sierpnia 2020 r., zamieszczonym w autentycznej wersji językowej na stronach następujących po niniejszym streszczeniu, Komisja powiadomiła Polskę o swojej decyzji o wszczęciu postępowania określonego w art. 108 ust. 2 Traktatu o funkcjonowaniu Unii Europejskiej dotyczącego wyżej wspomnianego środka pomocy.

TEKST STRESZCZENIA
Opis środka i projektu inwestycyjnego
W dniu 4 lipca 2019 r. Polska zgłosiła, że zamierza przyznać/przyznała regionalną pomoc inwestycyjną w wysokości około 95 mln EUR dla LG Chem Wrocław Energy Sp. z o.o. ("LG Chem") na inwestycję mającą na celu zwiększenie przepustowości istniejącego zakładu produkującego ogniwa akumulatorowe do pojazdów elektrycznych. Zgłoszona inwestycja znajduje się w województwie dolnośląskim, na obszarze kwalifikującym się do pomocy regionalnej na mocy art. 107 ust. 3 lit. a) TFUE, przy standardowym pułapie pomocy regionalnej wynoszącym 25 % na podstawie polskiej mapy pomocy regionalnej na okres od lipca 2017 r. do 2020 r. 1 . Beneficjent pomocy jest spółką zależną należącą w całości do LG Chem Ltd z siedzibą w Korei Południowej i należy do kategorii dużych przedsiębiorstw.
Pomoc udzielana jest w ramach pakietu pomocy opartego na czterech różnych instrumentach: bezzwrotnej dotacji pieniężnej, pomocy ad hoc w formie sprzedaży gruntów i powiązanej infrastruktury po preferencyjnej cenie, zwolnienia z podatku dochodowego od osób prawnych w odniesieniu do dochodów uzyskanych ze zgłoszonej inwestycji oraz zwolnienia z podatku od nieruchomości.
Ocena zgodności środków pomocy
Wspólne zasady oceny określone w pkt 3.1 wytycznych w sprawie pomocy regionalnej stanowią, że pomoc regionalna może zostać zatwierdzona jedynie wtedy, gdy 1) spełnione są pewne minimalne wymogi obejmujące wpływ projektu na rozwój regionalny, odpowiedniość środka pomocy oraz wybranego rodzaju środka pomocy, formalny i materialny efekt zachęty środka pomocy oraz jego proporcjonalność; 2) pomoc nie prowadzi do wyraźnego negatywnego wpływu na konkurencję i wymianę handlową; a 3) pozytywne skutki środka pomocy wyraźnie przewyższają jego skutki negatywne.
W pkt 61 wytycznych w sprawie pomocy regionalnej stwierdzono, że istnienie (istotnego) efektu zachęty można dowieść, gdy zachodzi jedna z dwóch możliwych sytuacji, tj. gdy bez pomocy inwestycja nie byłaby wystarczająco rentowna w żadnej lokalizacji (scenariusz 1) albo bez pomocy inwestycja zostałaby zrealizowana w innej lokalizacji. Polska powołuje się na scenariusz 2 i twierdzi, że bez pomocy inwestycja zostałaby przeprowadzona w [...] * Chinach, gdzie grupa LG Chem kontroluje za pośrednictwem spółki joint venture inny zakład produkujący akumulatory do pojazdów elektrycznych. Według Polski inwestycja byłaby w Chinach bardziej opłacalna o 77,3 mln EUR.
Na obecnym etapie Komisja ma wątpliwości, czy proponowana pomoc mogłaby mieć wymagany efekt zachęty. W szczególności Komisja zauważa, że domniemana luka w rentowności wynosząca 77,3 mln EUR (tj. różnica między bieżącą wartością netto projektu w dwóch rzekomo konkurujących lokalizacjach) wynika z dotacji w wysokości około 106 mln EUR, którą grupa LG Chem, jak twierdzi, miałaby otrzymać w Chinach, i którą zawarła ona w swoich obliczeniach porównawczych obecnej wartości netto dla [.] jako dochody.
Na obecnym etapie Komisja uważa, że przedstawione przez Polskę dowody na to, jaka pomoc była dostępna dla LG Chem w Chinach w momencie podjęcia decyzji o lokalizacji, są niewystarczające, aby stwierdzić, że przewidywane chińskie subsydium ma realne podstawy i w związku z tym można je uwzględnić w obliczeniach luki w rentowności. W oparciu o przekazane przez władze polskie informacje Komisja zauważa, że w momencie podjęcia decyzji o lokalizacji na korzyść Polski (tj. w dniu 16 sierpnia 2017 r.) LG Chem nie dysponowała pisemną ofertą od władz chińskich dotyczącą pomocy na rzecz swojej alternatywnej inwestycji w Chinach. W rzeczywistości dowody dostępne w tym dniu to oczekiwanie LD, że otrzyma od władz chińskich pomoc w wysokości podobnej do tej, jaką otrzymywała ona w przeszłości na poprzedni projekt inwestycyjny, oraz na rzekomej obietnicy wyrażonej ustnie przez wyższego rangą urzędnika chińskiego reprezentującego potencjalny podmiot mający przyznać pomoc, podczas spotkania, które odbyło się w dniu 9 sierpnia 2017 r. Komisja zauważa, że jeżeli chińska zachęta zostanie wyłączona z obliczeń luki w rentowności, ta rzekoma luka w rentowności znika, a projekt jest bardziej opłacalny w Polsce niż w Chinach o znaczną kwotę, w związku z czym zgłoszona pomoc nie miałaby efektu zachęty.
Ponadto Komisja uważa, że dalsze elementy budzą wątpliwości co do wiarygodności Chin jako alternatywy dla lokalizacji projektu inwestycyjnego. Po pierwsze, nie można wykluczyć, że względy strategiczne, takie jak bliskość geograficzna z klientami i łatwość logistyki, skłoniłyby przedsiębiorstwo do zainwestowania w Polsce nawet w przypadku rzekomej luki w rentowności. Po drugie, wydaje się, że w momencie podejmowania decyzji inwestycyjnej w sierpniu 2017 r. południowokoreańscy producenci akumulatorów do pojazdów elektrycznych w Chinach znajdowali się w szczególnie nieprzyjaznym środowisku politycznym: władze chińskie wyłączyły pojazdy elektryczne wyposażone w akumulatory dostarczane przez producentów z Korei Południowej z programu premii dla nabywców pojazdów elektrycznych; w związku z tym południowokoreańskim producentom akumulatorów do pojazdów elektrycznych uniemożliwiono w praktyce sprzedaż na chińskim rynku.
Ocenę proporcjonalności kwoty pomocy, wymaganą zgodnie z częścią 3.6 wytycznych w sprawie pomocy regionalnej, można przeprowadzić dopiero po potwierdzeniu istotnego efektu zachęty przedmiotowego środka pomocy. Ponieważ na obecnym etapie wydaje się, że żadna pomoc nie byłaby konieczna do zlokalizowania inwestycji w Polsce, zgłoszona pomoc nie ogranicza się do kwoty niezbędnej do osiągnięcia tego celu, a zatem nie jest proporcjonalna.
Ponieważ wydaje się, że inwestycja, nawet bez pomocy, zostałaby tak czy inaczej zrealizowana w Polsce, Komisja wyraża również wątpliwości co do tego, czy zgłoszona pomoc inwestycyjna przyczynia się do rozwoju regionalnego w danym województwie, i nie może stwierdzić, czy pomoc jest odpowiednia do zaradzenia specyficznym utrudnieniom regionalnym w danym województwie.
W części 3.7.2 wytycznych w sprawie pomocy regionalnej jednoznacznie wymieniono sytuacje, w których wyraźne negatywne skutki dla wymiany handlowej lub konkurencji wyraźnie przeważają nad wszelkimi pozytywnymi skutkami, i w których pomoc regionalna jest zakazana. Przeprowadzenie analizy wyraźnych negatywnych skutków i sporządzenie ostatecznego bilansu pozytywnych i negatywnych skutków pomocy jest jednak celowe tylko wtedy, gdy Komisja stwierdzi, że spełnione są opisane powyżej minimalne wymagania. Jeżeli te minimalne wymagania nie są spełnione, negatywne skutki dla konkurencji i wymiany handlowej przewyższają pozytywne skutki pomocy (które nie wydają się istnieć, ponieważ pomoc nie wydaje się na tym etapie konieczna).
W każdym razie na obecnym etapie Komisja nie może wykluczyć, że całkowita pomoc ze wszystkich źródeł nie przekracza maksymalnej dopuszczalnej intensywności pomocy na projekt, co zgodnie z pkt 119 wytycznych w sprawie pomocy regionalnej stanowi negatywny skutek, który prawdopodobnie nie zostanie skompensowany żadnymi pozytywnymi elementami.
W związku ze wszystkimi powyższymi argumentami Komisja ma wątpliwości odnośnie do zgodności przedmiotowej pomocy.
Zainteresowane strony proszone są o przedstawienie uwag na temat pomocy, a zwłaszcza na temat kwestii wskazanych bardziej szczegółowo w załączonym piśmie do Polski.
Zgodnie z art. 16 rozporządzenia Rady (UE) 2015/1589 2 wszelka niezgodna z prawem pomoc może podlegać odzyskaniu od beneficjenta.

53 It might also be necessary to verify whether an absolute decline is not hidden behind the effects of business cycle effects on the product market concerned, or caused by other exceptional effects that would bias the results of the standard approach. Constantly sinking product prices might be an indicator for a situation of absolute decline, or simply the result of substantial and continuous technical progress allowing to reduce per unit production costs.
54 In fact, a definite definition of the geographic market is not necessary in the given case in view of the general evolution of the global and the EEA market for battery cells for EV use.
55 The market for battery cells for ESS shows also substantive growth, both at EEA and global level. Therefore, a wider definition of the product market, to include cells for EV and ESS, would lead to the same result that the market is not in absolute or relative decline, and thus that the aid - independent of the definition of the geographic market as EEA or global market, has no undue negative effect on competition.
56 According to paragraph 121 of the RAG, the counter-cohesion effect resulting from aid to the detriment of a weaker or similarly weak EEA region would constitute a negative element in the overall balancing test that is unlikely to be compensated by any positive elements, because it runs counter the very rationale of regional aid.
